Within Cisco Prime Infrastructure IP phones are not
counted with regards to licensing. This is because Cisco Prime Infrastructure does not manage IP phones.

I am told there is a limited amount of management which can be done to IP phones within Prime infrastructure if you know what you are doing but for a comprehensive UC management solution see below:
In order to manage IP phones, you will need to have Cisco Prime
Collaboration, which does count the IP phones for licenses. For more information
